หลังจาก MOU 43 ในเดือนมิถุนายน 2544 ก็มีการเซ็น MOU 44 ซึ่งเป็นการปักปันทางทะเล
ซึ่งในปี พ.ศ. 2515 กัมพูชาได้ประกาศพื้นที่ไหล่ทวีปออกมา เส้นของกัมพูชา ผ่ากลางเกาะกูดซึ่งเป็นเกาะของไทย รัฐบาลไทยไม่เห็นด้วย จึงประกาศพื้นที่ไหล่ทวีปของไทยในปี พ.ศ. 2516 และเกิดพื้นที่ซ้อนทับทางทะเลขึ้น
แม้จะมีความพยายามในการเจรจาหลายครั้งในหลายรัฐบาล
แต่เป็นครั้งแรกที่กัมพูชายอมเจรจา ในเรื่องพื้นที่และผลประโยชน์ในบริเวณที่ซ้อนทับ
โดยเจรจาเรื่องผลประโยชน์ทางทะเลจากก๊าซและน้ำมัน ควบคู่ไปกับการแบ่งเส้นเขตแดนทางทะเล
คณะบุคคลที่เจรจา ก็ได้รับการยอมรับนับถือว่าขาวสะอาด เช่น กฤษณ์ กาญจนกุญชร, พล.ร.อ. ถนอม เจริญลาภ เป็นต้น
เป็นการป้องกันไม่ให้ฝ่ายการเมืองทั้งสองประเทศเจรจาแบ่งผลประโยชน์กันได้
MOU 44 จึงเป็นการตั้งเวทีอย่างเป็นทางการ ในการเจรจาปักปันเขตแดนทางทะเล
นอกจากนั้นยังมีแผนที่แนบท้ายกำหนดพื้นที่ซ้อนทับทางทะเลอย่างชัดเจน และเป็นไปตามหลักการของกฎหมายระหว่างประเทศ โดยเป็นแผนที่เพื่อกำหนดขอบเขตบริเวณที่จะเจรจา ว่าเป็นบริเวณใด

"ผมอยากจะกราบเรียนว่ามีประเด็นบางประเด็นที่น่าจะได้รับทราบเป็นสาธารณะเนื่องจากมีข่าวอยู่ตลอดเวลาเกี่ยวกับเรื่องนี้คือเรื่องความสัมพันธ์ระหว่างเส้นเขตแดนทางบกกับเส้นเขตแดนทางทะเลเพราะว่ามีการพูดอยู่เสมอว่าเขตแดนทางบก มีปัญหาเรื่องปราสาทพระวิหาร ศาลโลกตีความจะทําให้เสียพื้นที่ทางทะเลไปด้วยอะไรอย่างนี้ซึ่งความจริงแล้วกระผมขอกราบเรียนว่าเขตแดนทางบกกับเขตแดนทางทะเลเป็นคนละเรื่อง
ไม่ว่าเส้นเขตแดนทางบกจะเป็นอย่างไรไม่เกี่ยวกับเรื่องเขตแดนทางทะเล"ที่จริงแล้ว MOU 44 นี้ ไม่เกี่ยวกับพื้นที่รอบเขาพระวิหารเพราะเป็นการตกลงปักปันเฉพาะทางทะเล
แต่ก็มีคนพยายามโยงมาให้ได้!!!
(ผมจะไม่พูดถึง MOU 44 มากนัก เพราะเป็นเรื่องยาวอีกเรื่องหนึ่ง และไม่เกี่ยวกับพื้นที่ซ้อนทับ 4.6 ตารางกิโลเมตรรอบเขาพระวิหาร แต่พูดถึงบ้างเพราะมีคนพยายามโยงเข้ามา)
เนื้อหาของ MOU 44 มีดังนี้
Memorandum of Understandin g
between
the Royal Thai Governmcnt
and
the Royal Government of Cambodia
regarding
the Area of their Overlapping Maritime Claims
to the Continental Shelf
The Royal rhai Government and the Royal Govemment of cambodia (hereinafter
refened to as the Parties):
DESIRING to strengthen further the existing bonds of traditional friendship between the
two countries;
RECOGMZING that as a result of claims made by the two counkies to tenilorial sea,
continental shelf and exclusive economic zone in the Gulf of Thailand, there exists an
area of overlapping claims (the Overlapping Claims Area);
CONSIDERING that it is in the best interests of the tu.o countries to agree upon an early
mutually acceptable ilasis for exploitation of the hydrocarbon resources of thJ
OverlSpping Claims Area as soon as possible; and
TAKING NOTE of the understanding reached between their respective senior oflicials
as reflected in the Agreed Minutes of the Informal Consultations done at Cha Am on 5
October 2000 and at Siem Reap on 2l April 2001:
HAVE AGR.EED AS FOLLOWS:
l. The Parties consider that it is desirable to enter into provisional anangements of a
practical natur€ in respect of the Ovedapping Claims fuea.
2. Il is the intent of the Parties, through accelcrated negotiation, to simultaneously:
(a) eonclude an agreement for the joint development of the hydroearbon
resources located within the area shown in the Aftachment as the Joint
Development Area (the foint Development Trenty);and
(b) agree upon a mutually acceptable dq-U!!!gtioj0-of the lenitorial sea,
continental shelf and exclusive economic zone in the area shovm in the
Attachment as the Arca to be Delimited.
It is firmly the intent of the Parties to treat the provisions of paragraphs
(a) and (b) above as an indivisible package.
For the purpose of Article 2, there shall be established a Joint Technical Committee,
comprising officials of Thailand and Cambodia to be separately nominated. The Joint
Technical Committee shall be responsible for drawing up:
the agreed terms of the Joint Deveiopment T*ty, including a mutually
acceptable basis for sharing the costs and benefits ofthe exploitation of
hydrocarbon resources localed in the Joint Development Area; and
an agreed delimitation of the tenitorial sea, continental shelf ard exclusive
economic zone be-tween their respective curent claims in the Area to be
Delimited in accordance with applicable principles of international law.
The Joint Technical Committee shall meet regularly with a view to concluding its
work in relation to these matters expeditiousl)'. The Joint Technical Committee may
establish sueh sub-committees as it considers appropriate.
Subject to entry into force of the delimitation of the Parties'respective maritime
claims in the Area to be Delimited, this Memorandum of Understanding and all
actions taken prusuant io this Memorandum of Understanding are without prejudice
to the maritime cl3irns of either party.

IN WITh{ESS WHEREOF, the undersigned being duly authorized by their respective
Governments, have signed the Present Memorandum of Understanding.
